Morgan Lewis Advises KME SE on De-SPAC Agreement for Cunova’s Special Product Business

MUNICH, LONDON, NEW YORK, WASHINGTON DC, February 20, 2024: Morgan Lewis is advising KME SE on its business combination agreement relating to the special product business of Cunova GmbH, in which KME currently holds an indirect stake of 45%. The agreement was signed between, among others, KME, The Paragon Fund III GmbH & Co. geschlossene Investment KG (Paragon), and SDCL EDGE Acquisition Corporation (SEDA), a publicly traded special-purpose acquisition company (SPAC) listed on the New York Stock Exchange. Under the terms of the proposed agreement, Cunova will be indirectly acquired by a publicly listed successor entity of SEDA and Cunova will acquire KME Aerospace from KME, and the combined company is expected to be listed on the New York Stock Exchange.

KME is one of the world’s largest manufacturers of copper and copper alloy products and has a worldwide distribution network.
