The Committee on Foreign Investment in the United States (CFIUS) has reportedly increased its scrutiny of various transactions involving sovereign wealth fund (SWF) investments in the United States. Coming off a record-high 440 CFIUS-reviewed transactions in 2022, during which CFIUS reviewed a high volume of Asian investments, the regulatory committee appears to be turning its attention to transactions involving Middle East SWFs with ties to China.

Please join us for an hour-long webinar examining the key factors of this expansion, including the types of transactions that appear to have captured CFIUS’s focus, and what steps SWFs can take to address these issues and mitigate their risks from a regulatory perspective.

TOPICS WILL INCLUDE:

  • Areas of interest for CFIUS when dealing with SWF investments
  • Jurisdictional issues that impact CFIUS's jurisdiction as it applies to SWF investments that may eliminate the need for a CFIUS review, including proper application of passive-investment exceptions
  • When mandatory filings are required and when voluntary filings may be advisable, particularly due to potential third-party risk from other countries
  • Due diligence for SWFs to assess CFIUS risk and practical steps to address such risk
