Bartley Deamer has substantial experience in a wide variety of corporate and private equity acquisitions of public and private companies, acquisition financings (including subordinated debt), strategic alliances combining investment with commercial and technology ties, private and public securities offerings and senior debt transactions. He has led the legal team for over 90 acquisitions and sales. He regularly acts as acquisition counsel for Oracle Corporation and Fireman’s Fund Insurance Company.

Bart’s clients include multinationals based within and outside the United States and privately held companies in a wide variety of industries, including software, semiconductor, computers and computer storage, energy, insurance, communications, distribution, transportation, retailing and agribusiness. He is also regular counsel to one of the West Coast’s largest institutional investors in investment funds. Recurring elements in his work include structured bids for the acquisition of companies, the design of complex and innovative securities, tax- and accounting-driven deal features and transactions that combine finance, investment, an acquisition, technology licensing and/or supply and output rights.

Several of the acquisitions for which he was the lead transactions lawyer resulted in leading cases on the obligations of public company directors in acquisitions.
